Evose Terms of Service

Welcome to Evose! These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and the operating entity of the Evose platform ("Evose", "we", "us", or "our") governing your access to and use of the Evose.ai website, platform, and related AI agent collaboration services (collectively, the "Services").

By registering an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of a business or legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. You must be at least 18 years old to use the Services.

1. Description of Services

Evose is a platform that allows humans and AI agents to collaborate. We provide features including, but not limited to, Agent Builder, Knowledge Base, Tools integrations, Observability, and Workflows.

1.1 AI Agent Autonomy & High Risk: Our Services allow you to create and configure AI agents that can execute tasks autonomously or semi-autonomously based on your prompts. You explicitly acknowledge that the behavior of AI agents carries unpredictability.

1.2 No Guarantee of Accuracy: AI models generate content based on probabilities. You understand and agree that outputs generated by AI agents may be inaccurate, incomplete, or misleading. You must conduct independent human review and verification before using any outputs for critical business decisions, legal, medical, or financial purposes.

2. Account Registration and Security

2.1 Account Creation: You must provide accurate and complete registration information.

2.2 Account Security: You are entirely responsible for all activities that occur under your account and Workspace. You must safeguard your passwords and API keys.

2.3 Team Collaboration: If you invite other members to join your Evose Workspace, you are jointly and severally liable for their actions on the platform.

3. Acceptable Use Policy (AUP)

You agree to comply with all applicable laws while using the Evose Services and strictly agree NOT to:

• Use AI agents to generate, distribute, or execute any illegal, fraudulent, defamatory, discriminatory, violent, or IP-infringing activities.
• Use AI agents to conduct unauthorized data scraping, bypass CAPTCHAs, or ignore the protective protocols (e.g., robots.txt) of third-party websites.
• System Abuse and Infinite Loops: Intentionally or through gross negligence configure AI agents in a way that causes an "infinite loop", resulting in excessive consumption of computational resources or Denial of Service (DoS) attacks against the Evose platform or third-party APIs.
• Instruct AI agents to write or distribute any destructive code or malware.

4. Intellectual Property and Content Ownership

4.1 Your Input: You retain all ownership rights to the prompts, instructions, and files/data uploaded to the Knowledge Base (collectively, "Input"). You grant Evose a global license solely to provide, maintain, and run the Services for you.

4.2 Your Output: Subject to your full compliance with these Terms, Evose assigns to you all its rights, title, and interest in the content generated by AI agents based on your Input ("Output").

4.3 Platform Rights: Evose retains all intellectual property rights to the Services themselves (including underlying algorithms, Agent architecture, Observability dashboards, and templates). You may not reverse engineer the platform.

5. Third-Party Tools and Integrations

5.1 Authorization: Our platform allows your AI agents to connect to and call third-party tools, APIs, and services. When you authorize Evose agents to access third-party services, you explicitly agree to comply with the terms of service of those third parties.

5.2 Liability: You are solely responsible for all autonomous actions taken by your AI agents on third-party platforms. Evose assumes no liability for the availability of any third-party service, data breaches, or third-party damages caused by agent operations.

6. Fees, Billing, and Resource Consumption

6.1 Subscriptions: Certain features or usage limits require payment. All fees paid are non-refundable except where required by law.

6.2 Anomalous Consumption Liability: If your workflow misconfiguration causes an AI agent to enter an infinite loop or make excessively frequent external API calls, you are solely responsible for paying any resulting additional billing costs or API fees.

7. Disclaimer and Limitation of Liability (Zero Compensation)

7.1 Absolute Disclaimer: EVOSE PROVIDES THE SERVICES ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED. YOU AGREE TO ASSUME ALL RISKS ASSOCIATED WITH THE USE OF EVOSE AND AI AGENTS.

7.2 Zero Compensation and Waiver of Damages: YOU EXPLICITLY UNDERSTAND AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, EVOSE SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF COMMERCIAL PROFITS, BUSINESS INTERRUPTION, DATA LOSS, LOSS OF CUSTOMERS, REPUTATIONAL DAMAGE, OR THIRD-PARTY CLAIMS) ARISING FROM YOUR USE OR INABILITY TO USE THE PLATFORM OR THE AUTONOMOUS ACTIONS OF AI AGENTS.

7.3 Sole Remedy: IF YOU ARE DISSATISFIED WITH THE EVOSE SERVICES, THESE TERMS, OR ANY RESULTS CAUSED BY AI AGENT EXECUTION, YOUR SOLE AND EXCLUSIVE REMEDY IS TO IMMEDIATELY DISCONTINUE USING THE EVOSE SERVICES. WE WILL NOT PROVIDE ANY FUNDS, CREDITS, OR ANY FORM OF FINANCIAL COMPENSATION FOR LOSSES.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where the Evose operating entity is located, without regard to its conflict of law principles. Any disputes arising from these Terms shall be submitted to the competent courts in the jurisdiction of the Evose operating entity.
